Membership, Coaching & Consultant Terms and Conditions

Legal Entity

By accessing our website and engaging with any of our services – subscribing to The Thrivology Digital Membership, purchasing a standalone product, or purchasing a coaching package – you (hereinafter referred to as “the Client”) acknowledge the terms outlined herein. The Thrivology Company, trading as Thrivology Limited (UK Registered Company number: 13215559), offers a range of services, including The Thrivology Digital Membership, standalone products, and coaching packages. You agree you are voluntarily entering into a legally binding Agreement with The Thrivology Company, including the automatic renewal terms for the Membership, inclusive of the following terms and conditions mutually agreed upon. Thrivology Digital offers two primary service options:

1. The Thrivology Digital Membership

The Member agrees and understands that he/she is pre-purchasing an annual subscription to The Thrivology Digital Membership (“Membership”), offering educational resources, workshops, group mentoring calls, and a community of like-minded female entrepreneurs. The Member acknowledges that he/she has read the Membership Site Addendum and conducted any additional research necessary to feel he/she understands what is being provided in The Membership as well as what is not included. The Member agrees to be bound by the terms and conditions outlined herein, as well as the general policies and procedures that can be found in this agreement and on Thrivology Digital’s website. The Membership is not to be considered a substitute for personalized business, medical, or legal advice. The Membership is not designed to treat any mental, emotional, or other medical conditions. If you as The Member believe you may be in need of personalized attention, whether for your business, health, or otherwise, please seek additional assistance outside The Membership.

Promotions and Bonuses

The Member understands and agrees that they are purchasing access to The Thrivology Digital Membership by selecting either a monthly or annual subscription, with pricing as outlined in the “Pricing Plan (5)” section below. The Membership includes Thrivology Digital bonuses, access to the program, and other incentives as outlined on the sales page herein. Once the The Member has access to The Membership, they will redeem their Membership by utilizing a coupon code granted by Thrivology Digital to unlock the Membership and access for the duration of their chosen subscription period (monthly or annually). The subscription will automatically renew at the end of each subscription period unless properly canceled as outlined herein. If a founding member decides to leave or cancel their Membership, their founding member price will no longer be redeemable, and they will have to rejoin at the regular price if they wish to access The Membership in the future.

Confidentiality

As part of The Member’s access to Membership, The Member will gain access to various trade secrets and personal intellectual property of Thrivology Digital, including but not limited to materials such as verbal, written, and video advice, mindset guidance, and/or other information that may become available for use through The Member’s participation in The Membership. The Member understands and acknowledges that this information is not to be openly shared with others who have not purchased a subscription to The Membership. The Member agrees not to share, copy, or distribute any documents or other proprietary information obtained through The Membership, and agrees that he or she will be in violation of these Terms of Use if he or she uses any of the content outlined as his/her own material, or repurposes and uses the content in his/her own business without express written permission of Thrivology Digital. Should The Member breach this provision and disclose confidential or proprietary information belonging to Thrivology Digital or another participating in The Membership, The Member understands additional action may be taken by Thrivology Digital up to and including legal action. The Member’s confidentiality obligations shall remain in effect during the term of their Membership and for a period of two years after the termination of their Membership.

Testimonials

By providing any review, Testimonial, or feedback about The Thrivology Digital Membership, whether it be a win, loss, challenge, problem, or any other content posted within the Membership platform or on any public platform (collectively referred to as “Testimonial”), The Member expressly grants Thrivology Digital a worldwide, perpetual, irrevocable, royalty-free, and non-exclusive license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Testimonial, in whole or in part, in any form, media, or technology now known or later developed, for the purpose of promoting The Thrivology Digital Membership and Thrivology Digital’s business. This includes, but is not limited to, sharing the Testimonial within the Membership platform, on Thrivology Digital’s public social media platforms, within their e-mail list, and in any other reasonable location deemed appropriate for marketing and promotional purposes. Furthermore, The Member grants Thrivology Digital the right to use their name, image, likeness, and any other identifying information in connection with their Testimonial. Thrivology Digital reserves the right to edit, paraphrase, or abbreviate the Testimonial as necessary while maintaining the original intent and message. The Member acknowledges that they will not receive any compensation for the use of their Testimonial, name, or likeness, and waives any right to inspect or approve the use of their Testimonial, name, or likeness in advance. The Member represents and warrants that their Testimonial is honest, truthful, and based on their actual experiences with The Thrivology Digital Membership.

Pricing Plans

All prices are subject to change and are reviewed on a 90-day rolling schedule. However, once a member is signed up for a particular pricing plan, that plan will stay in place for the duration of their Membership as long as the Member remains subscribed. Please note that if The Member cancels their services and later decides to rejoin, they will only be able to do so at the current prices available when rejoining if they wish to access The Thrivology Digital Membership in the future.

Payment

The Member understands the cost of The Thrivology Digital Membership, as outlined above. The membership fees are charged automatically by month or year in accordance with the “Auto-Renewal Terms (6)” outlined below. The Member understands they are responsible for the full payment each month or year and agrees to pay the sum requested electronically, via Thrivology Digital’s website or a designated third-party payment processor of Thrivology Digital’s choosing, in full. Should The Member fail to make timely payments, or if additional payments are not able to be processed, The Member understands their access to The Membership may be restricted if payment is not made within one (1) day of the date it is due. If payment is not made on the date it is due, Thrivology Digital will continue to attempt to charge The Member via the membership site software; if and when payment goes through, The Member will again receive full access to Membership. If payment is not collected, The Member’s access will remain restricted, and The Member will carry a balance on their account, showing the month(s) owed. The Member must bring their account completely current in order to be granted access. If payment continues to be unsuccessful after sixty (60) days, The Member’s Membership shall be revoked and permanently cancelled. Should The Member wish to rejoin The Membership, they must do so at the current price it is being offered. Thrivology Digital reserves the right to cancel The Member’s access to The Membership should they fail to make additional payments in accordance with the Auto-Renewal Terms as outlined below. Should this occur, The Member understands they are not entitled to a refund of funds already issued to Thrivology Digital for access to The Membership. If a founding member decides to leave or cancel their Membership, their founding member price will no longer be redeemable, and they will have to rejoin at the regular price if they wish to access The Membership in the future.

Auto-Renewal Agreement

The Member understands and agrees that continued access to The Thrivology Digital Membership requires recurring monthly or annual payments that will be charged automatically on the day of the month or year on which they signed up. If The Member elects to be charged monthly by purchasing access to The Membership and agreeing to these Terms of Use, The Member understands they will be automatically charged each month, at the price mentioned above, via the same card or manner in which the initial payment was made, for the following month of Membership to The Membership. This process will repeat each month unless and until The Member properly cancels their Membership. If The Member elects to be charged annually by purchasing access to The Membership and agreeing to these Terms of Use, The Member understands they will be automatically charged each year, at the price mentioned above, via the same card or manner in which the initial payment was made, for the following year of Membership to The Membership. This process will repeat each year unless and until The Member properly cancels their Membership.

Cancellation Policy

If The Member wishes to cancel their Thrivology Digital Membership, they must do so more than 24 hours before the charge is scheduled to withdraw (all times are in GMT). Any requests for cancellation made less than 24 hours before the automatic renewal is scheduled to charge The Member’s card or made subsequent to the charge will take effect the following month.

How To Cancel:

• Send an e-mail to info@Thrivology Digital.com with the subject line “MEMBERSHIP CANCELLATION”.
• Include your full name, e-mail address, and a clear statement requesting the termination of your Membership.
• Wait for a confirmation e-mail from Thrivology Digital acknowledging the receipt of your cancellation request.

The Member will be notified upon Thrivology Digital’s receipt of the e-mail, and their Membership will subsequently be cancelled prior to the following billing period, assuming it is more than 24 hours away. As outlined above, if The Member cancels their Membership less than 24 hours before the automatic renewal is scheduled to charge their card, they acknowledge and agree that they will be charged for the next month, and the cancellation will take effect following this. Should this occur, The Member will have access to The Membership for the month in which they paid, with the Membership terminating at the end of the last paid month. It is the responsibility of The Member to ensure that their cancellation request has been received and processed by Thrivology Digital. By checking the box on the purchase page confirming your agreement to these Terms, you also confirm that you are giving your unequivocal, clear, affirmative consent to your agreement with these automatic renewal and billing terms and the cancellation policy and that you understand how to cancel before your card is charged for the following month.

Termination by Thrivology Digital

Thrivology Digital reserves the right to terminate The Member’s access to The Membership at any time and for any reason, including but not limited to:

• Breach of these Terms of Use;
• Engaging in conduct that Thrivology Digital believes is harmful to its business or reputation;
• Providing false, inaccurate, or misleading information during the registration process or while participating in The Membership;
• Failure to make timely payments for The Membership.

In the event of termination by Thrivology Digital, The Member will be notified via e-mail and will lose access to The Membership immediately. If the termination is due to a breach of these Terms of Use or harmful conduct, The Member will not be entitled to a refund of any fees paid.

Refund Policy

Due to the digital nature of The Thrivology Digital Membership and the immediate access to the content provided upon purchase, Thrivology Digital is not able to offer refunds once The Member has purchased access to The Membership for any reason, including inability to obtain access to the site. It is the responsibility of The Member to ensure they have the necessary technical requirements and stable internet connection to access The Membership. In exceptional circumstances, such as prolonged technical issues with The Membership platform that prevent access to the content for an extended period, Thrivology Digital may, at its sole discretion, offer a partial or full refund. The Member must notify Thrivology Digital of any such issues promptly, and Thrivology Digital will work to resolve the problem as quickly as possible. If The Member is dissatisfied with their Membership or otherwise unable to view it in its entirety, they may reach out to customer service at info@Thrivology Digital.com or may elect to cancel via the Cancellation Policy (8) outlined above and will not be charged for subsequent months. The Member further agrees and understands that changing their mind about The Membership, failing to follow through or understand the details of The Membership, not experiencing the results they expected or desired, or experiencing any other similar situations does not entitle them to a refund.

Technology Requirements and Limitations

To access and utilize The Thrivology Digital Membership, The Member is responsible for ensuring they have the necessary technology, including but not limited to:

• A reliable internet connection
• A compatible device (computer, tablet, or smartphone)
• Up-to-date web browsers and operating systems
• Any additional software or plugins required to view the content

Thrivology Digital strives to make The Membership accessible across a wide range of devices and platforms. However, Thrivology Digital is not responsible for any specific technology needed to adequately view and utilize The Membership, nor is it responsible for any compatibility issues, technical difficulties, or limitations experienced by The Member due to their choice of device, software, or internet connection. The Member’s inability to access The Membership due to a technology issue on The Member’s end does not qualify them for a refund, nor does it alleviate them of their responsibility to make monthly payments unless or until The Member’s Membership is properly cancelled in accordance with the Cancellation Policy (8). In the event of technical difficulties arising from Thrivology Digital’s end, such as server downtime or site maintenance, Thrivology Digital will make every effort to resolve the issue promptly and communicate any prolonged disruptions to The Member. However, temporary inability to access The Membership due to such issues does not entitle The Member to a refund or exemption from their payment obligations. By agreeing to these terms, The Member acknowledges and accepts these technology requirements and limitations.

Voluntary Participation

The Member understands and agrees that they are voluntarily choosing to enrol in The Thrivology Digital Membership and are solely responsible for any outcomes or results. The Thrivology Digital Membership is designed to provide educational content, resources, and support to help female entrepreneurs, with a special focus on mothers, achieve success in their businesses and personal lives. The Membership offers guidance on business practices, strategies, time management, health, and well-being, aiming to provide a holistic approach to empowering its members. While Thrivology Digital believes in the value of its services and strives to create a supportive and informative environment, The Member acknowledges and agrees that individual results may vary. Thrivology Digital does not guarantee specific outcomes or success in any area of life or business as a result of participating in The Membership. The Member understands that the information and resources provided within The Membership are for educational and informational purposes only and should not be considered a substitute for professional advice, including but not limited to legal, financial, or health advice. The Member agrees to consult with qualified professionals in the relevant fields before making any significant changes to their business, health, or well-being based on the content in The Membership. By participating in The Membership, The Member acknowledges that they are fully responsible for their own decisions, actions, and results in their business and personal lives. Thrivology Digital shall not be held liable for any consequences, damages, or losses arising from The Member’s participation in The Membership or the implementation of any strategies, advice, or information provided within The Membership. The Member also understands they will have the opportunity to provide Thrivology Digital with additional personal information that is viewable to all the Membership members, including but not limited to location, industry, and other information. All information is completely voluntary and optional to complete, and The Member does not gain or lose anything in The Membership for choosing to complete or not complete the additional information. The Member understands this information will only be viewable to others inside The Membership and will be handled in accordance with Thrivology Digital’s Privacy Policy. The Member should not share any sensitive personal information or information they are not comfortable sharing within The Membership. The Member understands that should they elect to complete the information, they are doing so completely voluntarily and that The Membership and Thrivology Digital are not responsible for any negative results from such information dissemination. By agreeing to these terms, The Member acknowledges and accepts these conditions of voluntary participation.

2. Standalone Coaching and Consulting Packages

Thrivology Digital also offers customized coaching and consulting packages for businesses seeking tailored support with AI automation implementation. These packages are sold separately from the Membership and are subject to the following terms:

Scope of Services

The scope of services provided within coaching and consulting packages will be clearly defined in a separate agreement between Thrivology Digital and the Client. This agreement will outline the specific goals, deliverables, and timeframes for the engagement. The Client understands that the success of the engagement depends on their active participation and commitment to the agreed-upon plan.

Payment and Cancellation

Payment terms for standalone coaching and consulting packages will be outlined in the service agreement. The Client agrees to pay the agreed-upon fees in accordance with the payment schedule. Cancellation policies for these packages may vary, and will be explicitly detailed in the service agreement.

Confidentiality and Intellectual Property

The Client understands that all information shared during the coaching and consulting engagement will be treated as confidential and will not be disclosed to third parties without the Client’s explicit permission. The Client also acknowledges that Thrivology Digital retains all ownership rights to its intellectual property, including but not limited to coaching materials, methodologies, and proprietary tools. The Client agrees not to reproduce, distribute, or use Thrivology Digital’s intellectual property without written permission.

Disclaimer

Thrivology Digital provides coaching and consulting services based on its best knowledge and experience. However, The Client acknowledges that results may vary, and Thrivology Digital does not guarantee specific outcomes. The Client is fully responsible for their own decisions and actions based on the coaching and consulting services provided.

General Terms

Limitation of Liability and Disclaimer

The Member acknowledges that The Thrivology Digital Membership is designed to provide educational content, resources, and support to help female entrepreneurs, particularly mothers, achieve success in their businesses and personal lives. However, The Member understands and agrees that Thrivology Digital does not guarantee any specific results, outcomes, financial gains, or personal achievements from participating in The Membership. All services and content provided by The Membership and Thrivology Digital in connection with The Membership are provided on an “as is” basis, without any guarantees, representations, or warranties, including but not limited to warranties relating to quality, non-infringement, fitness for a particular purpose, merchantability, or expectation or course of performance. The Member voluntarily purchases access to The Membership and agrees to hold Thrivology Digital harmless should they become dissatisfied with any portion of The Membership. The Member agrees that Thrivology Digital, its owners, employees, and affiliates shall not be liable for any direct, indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunities, physical, emotional, or financial injury, or any other losses or damages arising from or related to The Member’s participation in The Membership, even if Thrivology Digital has been advised of the possibility of such damages. The Member acknowledges that any business decisions, actions, results, or personal outcomes are solely their responsibility, and Thrivology Digital shall not be held liable for any consequences arising from such decisions, actions, results, or outcomes. The content provided by Thrivology Digital on its website and within The Membership is for informational and educational purposes only and may not be suitable or applicable to every individual. The Member understands that Thrivology Digital cannot guarantee results from The Membership and has no expectation of a specific result that Thrivology Digital is responsible for delivering. EARNINGS DISCLAIMER: Thrivology Digital does not make any guarantees or assurances regarding a particular financial outcome based on the use of The Membership and is not responsible for The Member’s earnings or any increase or decrease in finances based upon information within The Membership. Any information or testimonials regarding past or current Members’ participation in programs or their work with Thrivology Digital that contain financial information are individual experiences, and results may vary. NOT MEDICAL OR PROFESSIONAL ADVICE: The Membership and content contained within The Membership should not be considered personalized business, medical, legal, or financial advice. Nothing within The Membership is intended to provide or act as a substitute for professional advice, including but not limited to mental health treatment, legal counsel, or financial guidance. Thrivology Digital encourages The Member to consult with qualified professionals in the relevant fields before making any significant changes to their business, health, or well-being based on the content in The Membership. By agreeing to these terms, The Member accepts this limitation of liability and disclaimer, acknowledging that Thrivology Digital’s total liability to The Member for any claims, losses, or damages shall not exceed the total amount paid by The Member for their Membership. The Member agrees to indemnify and hold harmless Thrivology Digital, its owners, employees, and affiliates from any claims, damages, or losses arising from their participation in The Membership or the implementation of any strategies, advice, or information provided within The Membership.

Recommendations or Referrals

Thrivology Digital may provide recommendations, offerings, deals, coupon codes, or suggested companies/brands within The Membership or in connection with our coaching and consulting services. The Member understands that these recommendations are based on Thrivology Digital’s personal experience and opinion, and may or may not be useful or suitable for all members of The Membership. If The Member chooses to utilize any products or services from a recommended company or vendor, they do so voluntarily and at their own risk. Thrivology Digital is not responsible or liable for any outcomes, experiences, or issues that may arise from The Member’s decision to use such products or services, as this falls outside the scope of The Membership. In cases where Thrivology Digital has a material relationship with any recommended products, services, or companies, including but not limited to affiliate relationships that allow Thrivology Digital to collect a commission for any products or services purchased through provided links, such material relationship will be clearly disclosed on or near the link to each company, identifying it as an “affiliate link.” The presence of an “affiliate link” notation indicates that Thrivology Digital is an affiliate of the mentioned company and will receive financial compensation if The Member decides to purchase the product or services offered through that link. However, The Member is under no obligation to purchase any recommended products or services, and their decision to do so is entirely voluntary. By participating in The Membership or engaging in coaching and consulting services, The Member acknowledges and agrees to these terms regarding recommendations and referrals, understanding that Thrivology Digital’s recommendations are provided for informational purposes only and do not constitute an endorsement or guarantee of any specific outcomes or experiences.

Intellectual Property

The Member acknowledges and agrees that Thrivology Digital has created numerous original, creative works in connection with The Membership and its coaching/consulting services. Thrivology Digital maintains all copyrights and other intellectual property rights in all original or derivative content associated with or included in The Membership, whether created prior to working with The Member or specifically for The Member, including but not limited to documents, charts, e-mails, graphs, products, systems, processes, handouts, worksheets, copy for website or sales pages, and any other original work created by Thrivology Digital (collectively referred to as “Intellectual Property”). The Member may be granted a limited, revocable, non-transferable license to use selected materials from The Membership in the course of their own business. However, the original proprietary rights remain with Thrivology Digital. This agreement does not constitute a transfer of ownership of any Intellectual Property from Thrivology Digital to The Member, nor grant any license to use the information, other than what is expressly provided throughout the course of The Membership. The Member agrees not to copy, repost, alter, publish, sell, assist others in selling, manipulate, distribute, or in any way exploit any of the content or Intellectual Property provided by Thrivology Digital or obtained through working with Thrivology Digital without Thrivology Digital’s express written consent. If such behaviour is discovered or suspected, Thrivology Digital reserves the right to immediately terminate The Member’
